Terms of Service

These Terms of Service (hereinafter referred to as the "Terms") govern the access to and use of the FriendlyReviewer SaaS platform (hereinafter "the Platform"), published by Marc Hugon, Sole Proprietor (Entrepreneur Individuel) (hereinafter "the Publisher").
Any registration or purchase of credits on the Platform implies the unreserved acceptance of these Terms.
1. Purpose of the Service
FriendlyReviewer is an automated code review and analysis tool powered by artificial intelligence. The service is accessible online via a pay-as-you-go credit consumption model.
2. Credit System and Consumption Terms
Using the Platform requires the prior purchase of credit packs. Actions on the Platform consume credits according to the following fixed schedule:
- Initial Indexing: 2 credits for code indexing during the first review of a new project.
- New Pull Request (PR): 1 credit per new PR, including automated validations.
- New Review on Demand: 1 credit when a new review is explicitly triggered on an existing PR.
Validity Period and Notification: Purchased credits are valid for a period of twelve (12) months from their date of purchase. The Publisher undertakes to notify the user by email at least thirty (30) days prior to the expiration of their credits. Upon expiration of this period, any unconsumed credits are permanently lost and will not be eligible for any refund.
3. Pricing and Payment Terms
Prices for credit packs are displayed on the Platform in US Dollars (USD) or Euros (EUR). The Publisher reserves the right to modify its rates at any time. Transactions are secured and processed by the third-party payment provider Stripe.
4. Right of Withdrawal and Refunds
Professional Clients (B2B): In accordance with French commercial law, no right of withdrawal applies to transactions between professionals. Credit purchases are final and non-refundable.
Individual Consumers (B2C): In accordance with Article L.221-28 13° of the French Consumer Code (Code de la consommation), the 14-day right of withdrawal cannot be exercised for the supply of digital content not supplied on a tangible medium if the performance has begun after the consumer's prior express consent and express waiver of their right of withdrawal. By validating their credit purchase for immediate use, the consumer agrees that the execution of the service begins immediately and expressly waives their right of withdrawal. No refund will be granted for credits, whether partially or fully consumed.
5. Limitation of Liability and AI Warranties
Assistance Role and Human Validation: The Platform operates strictly as an assistance tool for code review. The user retains full control and liability over their codebase. Consequently, the user is required to review, test, and validate every suggestion generated by the Platform before integrating or deploying it into their environments.
Liability Cap: In any event, should the Publisher's liability be incurred in connection with the execution of these Terms, for any reason whatsoever, the total amount of compensation that the Publisher may be required to pay shall not exceed the sums actually paid by the user to the Publisher during the twelve (12) months preceding the event giving rise to the dispute.
Obligation of Means: The Publisher agrees to use its best efforts to ensure the availability of the Platform, but is bound only by an obligation of means regarding the technical relevance of the code reviews provided.
6. Data Access and Security
To perform automated and seamless code reviews, the Platform requires a connection to the user's code hosting platform (e.g., GitHub, GitLab) as well as third-party project management and ticketing tools (e.g., Jira, Linear) via dedicated applications or access tokens.
The user acknowledges and accepts that the Platform requests exclusively the following permissions, which are strictly necessary for its operation:
Code Hosting Platforms (GitHub, GitLab, etc.)
- Read Access to Code and Metadata: Necessary to analyze the content of the submitted Pull Request and generate the code review.
- Read and Write Access to Pull Requests and Issues: Necessary to post AI comments and suggestions directly onto the user's interface.
- Read and Write Access to Repository Hooks: Necessary to automatically configure webhooks. This automation allows the Platform to be instantly notified as soon as a new Pull Request is opened or updated, removing the need for complex manual configuration by the user.
Project Management and Ticketing Tools (Jira, Linear, etc.)
- Exclusive Read-Only Access: Necessary to link Pull Requests to their corresponding tickets, analyze the business context of the task or issue, and improve the technical relevance of the code review. The Platform does not request any write or modification rights on the projects, tickets, or data of these third-party tools.
The Publisher undertakes never to use these access rights for purposes other than executing FriendlyReviewer's features. Access and authentication tokens are stored in an encrypted and secure manner.
The user acknowledges and accepts the following strict data processing terms:
No AI Training: The indexed source code is under no circumstances used, retained, or transmitted to third parties for the training or refinement of Artificial Intelligence models.
Exclusive Semantic Indexing (Knowledge Base): To optimize code reviews across versions, the Platform generates a semantic knowledge base. The Publisher guarantees that this knowledge base is strictly limited to high-level metadata (textual description of the file's intent, technical keywords, dependencies, general architecture). No raw source code lines, functions, or algorithms from the user's application are stored or retained in this knowledge base.
Immediate Deletion of Source Code: Apart from the extraction of semantic metadata (knowledge base), the Publisher guarantees that the entirety of the original source code transmitted for analysis is immediately and permanently deleted from the Platform's memory and servers as soon as the execution of the code review is finalized. No history of the raw code is kept.
Subcontracting of Analyses (AI Models): To generate semantic reviews, the Platform transmits the required code snippets via secure APIs to third-party artificial intelligence infrastructure providers (notably OpenRouter, Alibaba Cloud, and DeepSeek). The Publisher guarantees to use exclusively professional paid inference services (APIs) whose contractual terms prohibit the use of submitted data for training or perfecting AI models. The user is expressly informed and accepts that the use of these high-performance inference models (OpenRouter, Alibaba Cloud, DeepSeek) involves a secure cross-border data transfer outside the European Union. The Publisher ensures that these transfers are made to professional platforms that contractually guarantee strict data confidentiality and the total absence of data usage for AI training.
7. Applicable Law and Jurisdiction
These Terms are governed by French law. In the event of a dispute relating to their interpretation or execution, and failing an amicable agreement:
- For professional clients (B2B), exclusive jurisdiction is granted to the courts of Nanterre, France.
- For individual consumers (B2C), statutory rules of territorial jurisdiction shall apply.
8. Suspension and Termination
The Publisher reserves the right to unilaterally, automatically, and without notice, suspend or close a user's account in the event of a serious breach of these Terms, abusive, malicious, or fraudulent use of the Platform's infrastructure or API, or payment incidents. Any remaining credits will be cancelled without eligibility for a refund. The Publisher undertakes to notify the user of the reasons for suspension by email as soon as possible.
9. Modifications to the Terms
The Publisher reserves the right to modify these Terms at any time. In the event of a material modification, users will be informed by email or via a notification on the Platform at least fifteen (15) days before the new conditions take effect. A user who objects to the new modifications must cease using the service; their current credits will remain valid under the previous conditions until their expiration.
10. Personal Data Protection (GDPR)
In compliance with the GDPR, the Publisher collects data strictly necessary for account and payment management (email, billing data). To obtain the full details of data processing, the identity of sub-processors, and to exercise your rights (access, rectification, erasure, portability), the user is invited to consult the Privacy Policy.
11. API Keys and Integrated Development Environment (IDE) Integrations
The Platform can be integrated directly into the user's development environments (IDEs, extensions, AI-assisted programming tools) via a unique authentication key (API Key) generated after a secure login (e.g., GitHub).
Safekeeping Responsibility: The user is solely responsible for the confidentiality and secure storage of their API Key within their local environment. The Publisher does not keep any copy of this key in a form that allows its direct exploitation and cannot be held liable in the event of a leak, theft, or fraudulent use of said key due to user negligence.
Verification of Access Rights: The user acknowledges and accepts that the Platform uses this authentication key to verify in real-time with the third-party code host (e.g., GitHub) that the user holds the necessary permissions (Pull Request creation rights) on the project submitted for analysis before any credit is consumed.
A French version of these Terms of Service is available upon request at admin@friendlyreviewer.fr. In the event of a discrepancy between the French and English versions, the French version shall prevail for consumers residing in France.
